Genius AI terms of service

These terms govern access to and use of Genius AI, the artificial intelligence platform operated by Coppel, S.A. de C.V. By using the platform you agree to be bound by them.

1. Acceptance of terms

By accessing or using Genius AI, whether through its web interface, its desktop application or its programming interfaces, you represent that you have read, understood and accepted these terms and the privacy policy, which forms an integral part of this agreement. If you do not agree, you must not use the platform.

2. Definitions

• Platform or Genius AI: the set of applications, services and interfaces published on the genius.coppel.services domain.
• Coppel or we: Coppel, S.A. de C.V.
• User or you: the individual authorized to access the platform.
• Input: the text, files, instructions and data you enter into the platform.
• Output: the content the platform generates in response to input.
• Google data: information obtained from Google APIs through the permissions you authorize.

3. Service description

Genius AI provides a conversational assistant built on language models, a document query layer called Lexa, optional integrations with Google Workspace and Google Cloud, and the ability to configure automated workflows. Available functionality depends on the access profile assigned to your account.

We reserve the right to modify, add or withdraw functionality. Where a change materially affects your use of the platform, we will provide reasonable advance notice.

4. Eligibility and accounts

Genius AI is an internal corporate tool for the group of companies. It may only be used by individuals over 18 who hold a corporate email account on one of the domains listed below and who maintain an active employment or contractual relationship with the corresponding entity.

Access to the platform is conditional on the entity you belong to keeping the intragroup agreement for the use of Genius AI in force, and on its Google Workspace administration authorizing the application. Any of the entities may revoke access for its personnel at any time, without notice to the others.

You are responsible for keeping your credentials confidential and for all activity carried out from your account. You must immediately report any unauthorized use to seguridad@coppel.com. You may not share your account, assign your access, or allow a third party to operate under your identity.

5. Connecting your Google account

The Google connection is optional. If you choose to enable it:

• You authorize Genius AI to access the data corresponding to the permissions you approve on the Google consent screen, and only those.
• You represent that you have authority to grant that access for the account you connect, and that doing so complies with your organization's policies.
• You acknowledge that use of Google APIs is subject to the Google Terms of Service and that Coppel, S.A. de C.V. neither controls nor is responsible for the availability of those APIs.
• You may revoke access at any time from the platform or at myaccount.google.com/permissions. Revocation does not affect the validity of operations performed before it.

Genius AI never sends email, deletes information or shares files from your Google account without your explicit on screen confirmation for each operation.

6. Acceptable use

You agree to use Genius AI lawfully, ethically and in accordance with Coppel, S.A. de C.V.'s internal policies. The following are prohibited:

• Entering sensitive personal data, third party information without a legal basis, or information classified above the level authorized for your profile.
• Using the platform to generate unlawful, defamatory or discriminatory content, content that infringes intellectual property rights, or content that violates the privacy of others.
• Attempting to circumvent security controls, usage limits, content filters or authentication mechanisms, including manipulation of system instructions.
• Reverse engineering, extracting the underlying models, or using output to train competing models.
• Automating access through unauthorized scripts or tools, or generating load that degrades service for other users.
• Bulk extraction of Google or third party data, or using it for a purpose other than the user facing feature that requested it.
• Reselling, sublicensing or making the platform available to unauthorized third parties.

7. Content and intellectual property

Your content. You retain ownership of your input. You grant us a limited, non exclusive, revocable license to process it for the sole purpose of operating the platform and generating the output you request.

Output. To the extent permitted by applicable law, generated output is made available to you for authorized work purposes. Because language models may produce similar content for different users, exclusivity and originality of any given output are not guaranteed.

Our property. The software, brand, interface, documentation and any improvements to the platform are the property of Coppel, S.A. de C.V. or its licensors. These terms transfer no intellectual property rights in them to you.

8. Nature of artificial intelligence output

Where a feature performs an action on your Google data, the platform will first display the content and the operation to be carried out. The confirmation is yours, and so is responsibility for the resulting send or modification.

9. Availability and support

We work to keep the platform continuously available, but we do not guarantee uninterrupted service. There may be scheduled maintenance windows, which are announced in advance, and unplanned interruptions arising from provider failures, including Google APIs.

10. Confidentiality

Information you access through Genius AI may be confidential or restricted. You agree to treat it as such, not to disclose it outside authorized channels, and to use it only in the performance of your duties. This obligation survives the termination of your access to the platform.

11. Privacy

Processing of personal data and Google data is governed by the privacy policy. Genius AI's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

12. Suspension and termination

We may suspend or terminate your access, with or without prior notice depending on the severity of the case, if you breach these terms, if your employment or contractual relationship with Coppel, S.A. de C.V. ends, if we detect a security risk, or if an authority or provider requires it.

You may stop using the platform at any time and request deletion of your account by writing to genius-soporte@coppel.com. Once access ends, your data is handled according to the retention periods published in the privacy policy.

13. Disclaimer of warranties

The platform is provided as is and as available. To the maximum extent permitted by law, Coppel, S.A. de C.V. makes no express or implied warranties as to the accuracy, completeness, fitness for a particular purpose, continuity or error free operation of the platform or its output.

14. Limitation of liability

To the maximum extent permitted by applicable law, Coppel, S.A. de C.V. shall not be liable for indirect, incidental, special, punitive or consequential damages, including loss of profits, data, business opportunities or reputation, arising from the use of or inability to use the platform, or from acting on unverified output.

Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law.

15. Indemnification

You agree to hold Coppel, S.A. de C.V., its affiliates and its personnel harmless from third party claims arising from your use of the platform in breach of these terms, of applicable law, or of the rights of third parties.

16. Changes to these terms

We may amend these terms. Material changes will be announced in the platform and by email at least 15 calendar days in advance. Continued use after the effective date constitutes acceptance of the new version. Prior versions are available on request.

17. Governing law and jurisdiction

These terms are governed by the laws of the United Mexican States. For their interpretation and performance, the parties submit to the jurisdiction of the competent courts of Mexico City, Mexico, waiving any other venue that might otherwise apply.

If any provision of these terms is held invalid or unenforceable, the remaining provisions remain in full force.
